These Terms of Service (“Terms”) govern the branding and marketing services provided by DIMABUE Branding Agency (“DIMABUE,” “we,” “us,” or “our”). By engaging our services, approving a proposal, or making payment, you (“Client”) agree to be bound by these Terms.
1. Services
DIMABUE provides professional branding and marketing services, including but not limited to brand strategy, brand identity design, marketing strategy, content creation, digital marketing, and consulting (“Services”).
The scope, deliverables, timelines, and fees will be defined in a written proposal, statement of work, contract, or invoice approved by the Client.
Any services outside the agreed scope will require a separate agreement and additional fees.
2. Client Responsibilities
The Client agrees to:

Provide accurate, complete, and timely information, materials, and approvals

Ensure all supplied content and assets are owned or properly licensed

Respond to feedback and approval requests within agreed timelines
DIMABUE is not responsible for delays, reduced effectiveness, or missed deadlines caused by the Client’s failure to meet these responsibilities.
3. Payment Terms
3.1 Fees
All fees are outlined in the approved proposal or invoice and are stated in Tanzanian Shillings (TZS) unless otherwise specified.
3.2 Deposits & Retainers

A non-refundable deposit (typically 30–50%) is required before work begins unless stated otherwise

For ongoing or retainer services, payment is due in advance of each billing period
3.3 Payment Due Dates

Invoices are payable within 7–14 days from the invoice date unless otherwise specified

Failure to make payment by the due date may result in paused work or delayed delivery
3.4 Late Payments
DIMABUE reserves the right to:

Suspend services until payment is received

Charge late fees where applicable

Terminate the agreement for continued non-payment
All payments made are non-refundable unless explicitly agreed in writing.
4. Revisions and Approvals
Unless otherwise stated in the proposal:

Services include a limited number of revisions

Additional revisions or scope changes will incur additional charges

Client approval of deliverables constitutes acceptance of that phase of work
5. Intellectual Property Rights
5.1 Ownership

DIMABUE retains ownership of all concepts, strategies, drafts, and unused materials

Final deliverables become the Client’s property only after full payment has been received
5.2 Portfolio & Promotional Use
DIMABUE may display completed work in its portfolio, website, social media, or marketing materials unless the Client requests otherwise in writing.
6. Marketing Performance Disclaimer
DIMABUE does not guarantee specific outcomes such as sales, engagement, brand growth, or revenue. Marketing results depend on various external factors beyond DIMABUE’s control.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement, except where disclosure is required by law.
8. Limitation of Liability
DIMABUE shall not be liable for:

Indirect, incidental, or consequential damages

Loss of profits, revenue, data, or business opportunities
DIMABUE’s total liability shall not exceed the total fees paid by the Client for the Services giving rise to the claim.
9. Termination
DIMABUE may terminate services immediately in cases of:

Non-payment
-
Breach of these Terms

Unlawful, unethical, or abusive conduct
Upon termination, the Client remains responsible for all fees incurred up to the termination date.
10. Governing Law
These Terms shall be governed and interpreted in accordance with the laws of the United Republic of Tanzania.
11. Amendments
DIMABUE reserves the right to update these Terms at any time. Continued use of Services constitutes acceptance of the revised Terms.

CANCELLATION POLICY
DIMABUE Branding Agency
1. Client-Initiated Cancellations
Clients may cancel services by providing written notice to DIMABUE.

All work completed up to the cancellation date is billable and non-refundable

Deposits and retainers are non-refundable

Any outstanding balance becomes immediately due upon cancellation
2. Project-Based Services
For branding and marketing projects:

Cancellations after work has commenced do not qualify for refunds

Partial deliverables may be provided at DIMABUE’s discretion based on project progress
3. Ongoing or Retainer Services

Cancellations must be submitted before the next billing cycle
-
No refunds are issued for unused time or partial months
4. DIMABUE-Initiated Cancellations
DIMABUE may cancel services due to:

Non-payment
-
Breach of agreement
-
Uncooperative, abusive, or unethical behaviour
In such cases, no refunds will be issued.
5. Force Majeure
DIMABUE shall not be liable for delays or cancellations caused by circumstances beyond reasonable control, including natural disasters, illness, technical failures, or government restrictions.
