These Terms and Conditions (“Terms”) govern the use of services provided by DIMABUE Branding Agency (“DIMABUE”, “we”, “our”, or “us”). By engaging our services, accessing our website, or making a payment, you (“Client”, “you”) agree to be bound by these Terms.
1. ABOUT DIMABUE BRANDING AGENCY
DIMABUE Branding Agency is a professional branding and marketing agency offering services including but not limited to branding, graphic design, website design, digital marketing, printing coordination, and strategic marketing solutions.
2. SCOPE OF SERVICES
2.1 DIMABUE provides services as agreed in a written proposal, quotation, invoice, or contract.
2.2 Any service not expressly stated in the agreement shall be considered out of scope and may attract additional charges.
2.3 All timelines depend on timely client feedback, approvals, and the provision of required materials.
3. CLIENT RESPONSIBILITIES
The Client agrees to:

Provide accurate and complete information required for the project

Supply content, logos, images, and approvals on time

Review and approve deliverables within agreed timelines

Ensure all materials provided do not infringe third-party rights
Delays caused by the Client may affect delivery timelines.
4. FEES, PRICING & PAYMENTS
4.1 All prices are quoted in Tanzanian Shillings (TZS) unless stated otherwise.
4.2 A deposit (usually 50%) may be required before work begins.
4.3 Full payment must be completed before final delivery or handover of files, websites, or printing.
4.4 Payments made are non-refundable once work has commenced.
4.5 Late payments may result in suspension of services.
5. REVISIONS & APPROVALS
5.1 DIMABUE offers a limited number of revisions as stated in the quotation or proposal.
5.2 Additional revisions beyond the agreed limit will be charged separately.
5.3 Client approval (written or electronic) confirms acceptance of the final work.
6. INTELLECTUAL PROPERTY RIGHTS
6.1 Upon full payment, the Client receives ownership rights to the final approved deliverables unless otherwise stated.
6.2 DIMABUE retains the right to display completed work in portfolios, websites, and marketing materials unless the Client requests confidentiality in writing.
6.3 Drafts, concepts, and unused designs remain the property of DIMABUE.
7. CONFIDENTIALITY
Both parties agree to keep confidential any sensitive or proprietary information shared during the project unless disclosure is required by law.
8. WEBSITE & DIGITAL SERVICES
8.1 DIMABUE is not responsible for:

Third-party hosting, domain providers, or plugins

Website downtime caused by external service providers

Content accuracy provided by the Client
8.2 Ongoing maintenance, updates, and security services are not included unless separately agreed.
9. PRINTING & THIRD-PARTY SERVICES
9.1 DIMABUE may coordinate printing or third-party services on behalf of the Client.
9.2 DIMABUE is not liable for errors, delays, or defects caused by third-party suppliers once approved by the Client.
10. TERMINATION OF SERVICES
10.1 Either party may terminate the agreement with written notice.
10.2 The Client will be charged for work completed up to the termination date.
10.3 Deposits and payments already made are non-refundable.
11. LIMITATION OF LIABILITY
DIMABUE shall not be liable for:

Loss of profits, data, or business opportunities

Indirect or consequential damages
Our total liability shall not exceed the amount paid by the Client for the specific service.
12. FORCE MAJEURE
DIMABUE shall not be held responsible for delays or failure to perform due to events beyond reasonable control, including natural disasters, internet failures, or government actions.
13. GOVERNING LAW
These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the United Republic of Tanzania.
14. AMENDMENTS
DIMABUE reserves the right to update or modify these Terms at any time. Updated versions will be effective upon publication on our website or official communication.
